Start > Run > msconfig (Type that)
When the window appears click the tab that says Startup
Uncheck the box next to the words MsnMgr
Click Apply
Click Close
Click Exit without Restarting  

and Voila!

ORRR

In Windows Live Messenger Go to the Tools Menu > Options
Click the General Tab
Uncheck "Automattically run Windows Live Messenger when i log......."
Click Apply
Click OK

and Voila!
